The head of the SEC's Crypto Task Force said on Wednesday that certain DeFi vaults and onchain lending products may fall within federal securities laws, depending on how they are structured and managed.
Commissioner Hester Peirce said that while many crypto activities sit outside the SEC's jurisdiction, moving financial products onto blockchain rails does not automatically change their legal classification. "Tokenized securities are still securities," she wrote. "That principle holds for vaults". She warned that firms performing "headstands, backflips and other gymnastics" to argue otherwise would face a "painful fall" [1].
The statement rippled through the market. Morpho, one of the largest vault infrastructure providers, fell roughly 5 per cent after the remarks, underperforming the broader crypto market. The warning carries weight because vaults have become one of the fastest-growing sectors in decentralised finance. Depositors place crypto into smart contracts that allocate capital across lending markets and other yield-generating strategies. As of July, $8.6 billion in assets were spread across 788 curated vaults reaching 1.4 million users, according to data shared with CoinDesk. The products have expanded well beyond DeFi native platforms. Both Coinbase and Robinhood now offer vault-based yield on stablecoin balances. Peirce noted that vaults span a spectrum, from fully automated contracts to products where human managers select strategies and rebalance assets. Those activities, she said, could resemble investment companies or investment advisers already regulated under existing law. She invited developers to engage with the SEC rather than assume blockchain technology puts them beyond the agency's reach.
